Notore Chemical Industries Plc has announced the appointment of Mathias Ogwuche as Group Company Secretary. He is currently the Senior Legal Officer in charge of the company secretariat and responsible for ensuring compliance with regulatory and statutory requirements, in addition to organizing committees, boards and annual general meetings of the company.
Ogwuche replaced Otivbo Saleh who resigned from the company effective August 19, 2024 after about seventeen years with Notore Chemical Industries Plc.
One of the achievements of Saleh, the former group company secretary was that she transitioned the company from a private company to a public liability company on 19th May 2014 and headed the team that listed the company on the Main Board of the Nigerian Exchange Limited on 2nd August 2018. She also headed the legal team that successfully secured the $37 million loan facility from Africa Export Import Bank (Afrexim) on 31st December 2019.
Ogwuche, the new group company secretary, is a consummate professional who is intrigued by the use of organizational and writing skills to complete tasks ahead of deadlines. He is exceptionally hardworking and has over the years exhibited unparalleled professionalism in his chosen areas of practice that involves drafting and reviewing of legal Agreements, proficient analysis of legal risks and the proffering of advice that mitigates these risks as well as assisting the erstwhile Group Company Secretary in the Management of the Board and all other legal matters in the Company.
Ogwuche was an integral part of the Team that listed the Company on the Main Board of the Nigerian Exchange Limited on 2nd August 2018. He was responsible for the Due Diligence and Compliance aspect of the transaction that successfully secured the $37 million loan facility from Africa Export Import Bank (Afrexim) on 31st December 2019 for the Turn Around Maintenance of the Company’s Fertiliser Plant. He played a central role in the Compliance and Documentation aspect in the recently concluded N105 billion Private Placement transaction of the Company and has been part of other major transactions in the Company.
Ogwuche has got about fourteen (14) years’ cognate experience as a Solicitor and Legal Adviser, nine (9) of which has been at the Legal and Governance Service Department of the Company. He is a member of the Nigerian Bar Association and the Society for Corporate Governance, Nigeria.
He obtained a Certificate on Company Secretary Practice and Optimum Productivity from the Institute of Chartered Secretaries and Administrators in Nigeria 2017, Corporate Governance Certificate of Attendance from the Nigerian Exchange Limited in 2019 and Certificate on Merger and Acquisition from Clifford Chance. Matthias has attended several other professional courses and holds other Certificates. The effective date of Mr. Ogwuche’s appointment as the Group Company Secretary is 20th August 2024.
